Startup Studio: Positioning Your Start-Up For Success – Key Legal Issues When Starting a Business

This workshop will cover all the legal issues you need to think about when starting a business. Should you form a corporation or an LLC? Should you incorporate in Rhode Island, Delaware, or somewhere else? What agreements should you sign with your co-founders and initial employees and consultants? How do you issue stock? How should you set yourself up to attract outside capital? What do you need to do to protect your IP? Stephanie Singer ’04 and corporate attorney at WilmerHale in Boston, and Victoria Hartmann Bishop ’11, also a corporate attorney at WilmerHale will cover these topics and more.

Victoria (Tory) Hartmann ‘11 is an attorney in the corporate practice group of WilmerHale. Her practice includes advising private and public companies at various stages of their lifecycle on a broad range of corporate matters. She has advised clients in complex biotechnology licensing and collaboration agreements, cross-border outsourcing deals and strategic investments. She also works with entrepreneurs, advising them on day-to-day legal matters as well as major transactions. Prior to joining WilmerHale, Ms. Hartmann worked in the policy group at Local Initiatives Support Corporation, a community development nonprofit organization, and taught English in three French middle schools. Ms. Hartmann graduated magna cum laude from Brown University in 2011 and from Harvard Law School in 2017.

 

 

Stephanie Singer ’04 is an attorney in the emerging companies practice group of WilmerHale, an international law firm known for its dedication to working with entrepreneurs and startups. She focuses her practice on advising entrepreneurs, startups and high growth companies with respect to corporate law matters throughout their life cycle. She represents technology and life sciences companies of all sizes in a range of industries, advising clients on formation, equity-related matters, corporate governance, venture capital financings, mergers and acquisitions, and ongoing corporate matters. In addition, she represents venture capital funds in making portfolio investments. Prior to joining WilmerHale, Ms. Singer worked at Highland Capital Partners, a venture capital firm, and in the book-publishing division of Entrepreneur magazine. Ms. Singer graduated magna cum laude from Brown University in 2004 and cum laude from Harvard Law School in 2010
